1Who we are
Searchpilot B.V., a private limited company under Dutch law (KvK 99806673), trading as Rankbird (“Rankbird”, “we”, “us”), provides the platform and related services described on rankbird.com. Our full company details are on Company details.
2Acceptance
By installing the Rankbird Shopify App, signing an order form, or otherwise using the Service, you (“Client”) agree to these Terms. If you accept on behalf of an organisation, you confirm you are authorised to bind it. These Terms apply alongside any signed order form, our Privacy Policy, Cookie Policy and Data Processing Agreement. A signed order form prevails in case of conflict.
3Definitions
- Service — the Rankbird platform, the Rankbird Shopify app and any related services we provide.
- Plan — the services, scope and price agreed in an order form.
- Client Data — content, store data, keywords and configuration the Client provides or that we generate for the Client via the Service.
- AI Output — content generated by the Service using third-party AI models.
4The Service
Rankbird provides SEO and Generative Engine Optimisation tooling for online stores, including AI-assisted content, publishing, performance monitoring, AI-visibility monitoring and optional Google Search Console and Google Analytics integrations. The features included in a Plan are set out in the order form.
5AI-generated content
AI Output is a suggestion and may contain inaccuracies, errors or content that does not match the Client’s brand. The Client is responsible for reviewing and approving AI Output before publication. By publishing AI Output, including via auto-publish, the Client accepts it as its own content and warrants it has the right to publish it. Rankbird does not warrant the accuracy, originality or non-infringement of AI Output and is not liable for the consequences of publication.
6Account and access
Rankbird sets up the Client’s account after the order form is signed. The Client installs the Rankbird app, a custom Shopify app provided by Rankbird, in its store and accepts the requested permissions. The Client is responsible for securing its credentials and for all activity in its account. Scope and deliverables are recorded in the order form.
7Fees and payment
Rankbird invoices Plans directly, per quarter in advance, at the prices in the order form. The Rankbird app is not distributed or billed through the Shopify App Store or Shopify Billing. Prices exclude VAT unless stated otherwise. Invoices are payable within 14 days unless agreed otherwise in writing. Late payment incurs statutory commercial interest (Article 6:119a Dutch Civil Code).
8Term and notice
A Plan starts on the date in the order form and runs per quarter, renewing automatically for one quarter at a time, unless the order form states otherwise. Either party may terminate a Plan by written notice, for example by email to support@rankbird.com, with a notice period of one quarter: notice must be given at least three months before the end of a quarter, and the Plan then ends at the end of that quarter.
9Right of withdrawal — consumers
The Service is intended for business use only. Where a consumer nonetheless concludes a distance contract, the statutory 14-day withdrawal period applies under EU Directive 2011/83/EU and Dutch law. If the consumer expressly asks Rankbird to start within that period and then withdraws, the consumer pays a proportionate amount for the Service provided until withdrawal (Art. 6:230s Dutch Civil Code).
10Termination
Either party may terminate with immediate effect if the other materially breaches these Terms and fails to cure within 30 days of written notice. Rankbird may suspend or terminate the Service immediately for non-payment or breach of the acceptable-use clause. After termination, we provide a one-time export of the Client’s content on request within 30 days. Client Data, including Google-derived data and stored credentials, is not deleted automatically: Rankbird deletes it within 30 days of a verified request to support@rankbird.com, unless the law requires otherwise.
11Client Data
The Client owns all Client Data, including content generated for it. The Client grants Rankbird a non-exclusive, royalty-free licence to host, process and display Client Data as needed to provide and improve the Service (in aggregated, non-identifying form). This licence does not allow any use of Google user data beyond what our Privacy Policy describes. The Client warrants it has the rights to all data and content it supplies.
12Acceptable use
The Client will not use the Service to create or publish unlawful, defamatory, infringing or misleading content; reverse-engineer, scrape, overload or circumvent the Service; resell the Service without our written consent; or breach Shopify’s policies.
13Intellectual property
Rankbird and its licensors keep all rights in the Service, its software, brand, prompts and templates. Nothing in these Terms transfers that ownership to the Client.
14Availability
We aim for continuous availability but do not guarantee it. Availability commitments apply only where they are agreed in the order form.
15Disclaimers
The Service is provided “as is”. To the extent permitted by Dutch law, Rankbird disclaims all implied warranties. We do not guarantee specific SEO results, rankings, traffic or AI citations.
16Limitation of liability
To the extent permitted by law, Rankbird’s total liability is limited to the fees the Client paid in the 12 months before the event. Rankbird is not liable for indirect or consequential damages, or loss of profit, revenue, data or goodwill. This does not limit liability that cannot be excluded under Dutch law, such as for intent or gross negligence.
17Indemnification
The Client indemnifies Rankbird against third-party claims arising from content the Client publishes via the Service (including AI Output), or from the Client’s breach of these Terms or applicable law.
18Data protection
Rankbird processes personal data in line with the GDPR and our Privacy Policy. Where we process personal data on the Client’s behalf, our Data Processing Agreement applies and forms part of these Terms.
19Confidentiality
Both parties keep the other’s non-public business, technical and commercial information confidential and use it only to perform these Terms, for up to 3 years after termination.
20Changes
We may update these Terms. Material changes are notified to active Clients at least 14 days in advance by email or in-product notification. Continued use after that date means acceptance.
21Governing law
These Terms are governed by Dutch law. The Amsterdam District Court has exclusive jurisdiction, without prejudice to mandatory consumer-protection rules.
